Nugli Health Terms of Use
Effective Date: July 7, 2025
Welcome to Nugli Health! These Terms of Use ("Terms" or "Agreement") constitute a binding agreement between you ("you," the "user," or the "patient") and Nugli Health ("Nugli," "we," "our," or "us"), the provider of the Nugli platform. Nugli operates a mobile and web-based service that connects users with licensed nurses for in-person healthcare services, including but not limited to drug administration, wound care, and other nursing procedures (the "Services").
By using the Nugli app or website, you agree to be bound by these Terms. If you do not agree, you must not use the Services. In the mobile application, you may be required to click “I Agree” or check a box indicating acceptance before using or continuing to use the Services (“click-wrap acceptance”). On the website, continued use constitutes your acceptance of these Terms.
1. About Nugli Services
Nugli provides a platform for scheduling and managing appointments with licensed nurses. Nugli grants you a limited, non-exclusive, revocable license to use the Services in accordance with these Terms.
To access all features, users must create a Nugli account and provide accurate information. You authorize us to use and disclose this information as described in our Privacy Policy.
2. No Medical Advice
Nugli does not provide medical advice. Any content or communication through Nugli is informational only and should not be considered medical advice, diagnosis, or treatment. All medical decisions should be made in consultation with a qualified healthcare professional booked through Nugli or your local healthcare provider. If you are experiencing a medical emergency, call 193 or your local emergency services immediately.
3. No Nurse/Doctor–Patient Relationship with Nugli
Your use of the Services does not create a medical professional/patient relationship with Nugli. Any such relationship is established directly between you and the nurse in person. Nugli does not supervise clinical judgment and is not responsible for the conduct, advice, or actions of nurses or any outcomes of your care.
4. User Responsibilities & Acceptable Use
- You are responsible for choosing a nurse and determining their suitability.
- You must provide accurate, current health and payment information.
- You agree to treat nurses respectfully and follow all appointment terms.
- You are financially responsible for all services rendered.
- You will not request illegal services or controlled substances without lawful authorization.
- You will not interfere with a nurse’s professional judgment or endanger their safety.
- You will not misuse, attempt to reverse-engineer, or disrupt the Services.
5. Nurse Credentials and Independence
Nugli verifies that nurses on the platform hold appropriate licenses. However, we do not guarantee the accuracy or completeness of profiles and are not liable for nurses’ actions. Nurses are independent professionals and are not employees, agents, or representatives of Nugli. Each nurse is solely responsible for the care they provide and for maintaining any required professional indemnity insurance.
5A. Client–Nurse Disputes
Any dispute, claim, or disagreement between a client and a nurse arising from an appointment, including but not limited to service quality, behavior, or payment, must be addressed directly between the client and the nurse. Nugli may, at its sole discretion, facilitate communication but is under no obligation to mediate, arbitrate, or resolve such disputes, and has no liability for their outcome.
5B. Ratings and Feedback
Clients and nurses may be asked to provide ratings, reviews, or feedback after appointments. By submitting feedback, you grant Nugli a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, and display it for any lawful purpose, including quality control and marketing. You must not post false, misleading, defamatory, or abusive feedback. Nugli may remove or edit feedback that violates these Terms or applicable law.
5C. Mutual Safety and Conduct Code
Clients and nurses agree to maintain a safe, respectful, and professional environment during all appointments. This includes refraining from harassment, discrimination, violence, unsafe conditions, and illegal conduct. Nugli may suspend or terminate any account for conduct that, in its sole discretion, violates this code or poses a risk to others.
6. Third-Party Services
The Services may rely on or link to third-party services (including payment processors, identity verification providers, and communication platforms). These third-party services are independent of Nugli, and we do not control, endorse, or assume responsibility for their actions, omissions, or terms. Your use of such services may be subject to separate terms and privacy notices.
7. Telecommunications & Notifications
Nugli may send confirmations, reminders, or feedback requests via SMS, email, or in-app notification. Message/data rates may apply. You may opt out of non-essential messages.
8. Payments and Fees
Fees are shown during booking. All payments are processed via a third-party provider. You authorize charges to your selected payment method and agree to maintain accurate payment information. All charges are in GHS unless stated otherwise. Nugli is not liable for errors, delays, or failures of third-party payment processors.
9. Cancellations, No-Shows & Refunds
Cancel within the allowed window to avoid fees. Late cancellations or no-shows may incur a charge to cover the nurse’s lost time. Refunds are only issued as required by law or at Nugli’s discretion.
10. Intellectual Property
All platform content, trademarks, and code belong to Nugli or its licensors. You may not copy, distribute, modify, or exploit any part of the Services without our written consent.
11. User Content & Feedback
If you submit reviews, feedback, or other content, you grant Nugli a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and display it for any lawful purpose. You warrant you have the right to grant this license.
12. Privacy & Data Protection
Nugli processes personal data in accordance with our Privacy Policy and the Data Protection Act, 2012 (Act 843) of Ghana. We implement reasonable technical and organizational measures to protect personal data but cannot guarantee absolute security.
13. Disclaimers
The Services are provided “as is” and “as available,” without warranties of any kind, to the maximum extent permitted by law. We do not warrant uninterrupted availability, accuracy of nurse profiles, or suitability for any particular purpose.
14. Limitation of Liability
- To the maximum extent permitted by law, Nugli will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business interruption.
- In all cases, Nugli’s total liability arising out of or related to the Services will not exceed the greater of GHS 1,000 or the total amounts you paid in the 12 months before the event giving rise to liability.
- Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence or fraud.
15. Indemnity
You agree to indemnify, defend, and hold harmless Nugli, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms or applicable law; (b) your use or misuse of the Services; (c) information or instructions you provide; (d) your interactions with nurses; or (e) any third-party claims arising from your actions.
16. Beta & Experimental Features
From time to time, Nugli may offer features identified as beta, preview, or experimental. Such features are provided as-is, may change or be discontinued at any time, and are excluded from any uptime or performance commitments.
17. Termination & Account Suspension
We may suspend or terminate your account for violations, suspected fraud, or misuse. You may deactivate your account at any time. Upon termination, provisions relating to intellectual property, liability limitations, indemnity, dispute resolution, and governing law will survive.
18. Dispute Resolution & Arbitration
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY
Except where prohibited by law, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration under the Alternative Dispute Resolution Act, 2010 (Act 798). The seat and venue will be Accra, Ghana, and the language will be English. You and Nugli waive any right to a jury trial or to participate in a class or representative action where permitted by law.
19. Governing Law
These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-laws principles.
20. Changes to Terms
We may modify these Terms by posting an updated version with a new effective date. Material changes will be communicated in-app or by email at least 7 days before they take effect. Continued use after the effective date constitutes acceptance.
21. Force Majeure
Nugli will not be liable for any delay or failure to perform due to events beyond its reasonable control, including acts of God, labor disputes, internet or utility failures, government actions, or security incidents.
